Sobi receives exclusive global commercialization rights to lacutamab upon a potential accelerated approval and may assume full global development rights following positive Phase 3 results. Innate receives $75 million at closing, may receive up to $40 million in near-term development milestones tied to S&eacute;zary syndrome, and may receive up to a further $465 million associated with Sobi&#8217;s option, regulatory events and commercial milestones. Tiered double-digit royalties on net sales are also included.<\/p>\n<p>Innate remains responsible for TELLOMAK-3. The planned open-label, randomized study includes a confirmatory S&eacute;zary syndrome cohort and a registrational mycosis fungoides cohort after at least one prior systemic therapy. First dosing is now expected in the first quarter of 2027; the companies did not disclose enrollment size, study cost allocation, milestone definitions or a revised cash-runway estimate in the closing announcement.<\/p>\n<h4>Deep Analysis<\/h4>\n<p>One interpretation is that closing converts a financing dependency into executable capital and partner commitment. Earlier in 2026, Innate stated that TELLOMAK-3 initiation depended on non-dilutive financing while its cash runway extended only through the third quarter. Receipt of the upfront payment therefore removes a disclosed near-term constraint and gives Sobi a defined commercial role. Against this interpretation, Innate still carries responsibility for the confirmatory study, and the remaining economics depend on milestones and future regulatory outcomes. A second interpretation is that the transaction reallocates downstream value and execution risk rather than independently de-risking lacutamab. Innate gains liquidity and rare-disease commercial infrastructure but grants Sobi global commercialization rights and a route to full development control.<\/p>\n<p>The biological thesis remains clinically plausible but unconfirmed at registrational scale. Lacutamab targets KIR3DL2, expressed on malignant T cells in S&eacute;zary syndrome and subsets of mycosis fungoides. Prior Phase 2 data in 56 heavily pretreated S&eacute;zary syndrome patients showed a 37.5% global response rate and a median response duration of 12.3 months.
